MEMBERSHIP FEES

 

The Applicant hereto agrees to pay to Seamless Alliance, Inc. (the “Corporation”), upon acceptance of the Applicant into the Corporation by its Board of Directors, the Membership Fee according to the schedule in the Membership Levels and Benefits section below. Membership Fees may be changed from time to time as determined by the Board of Directors of the Corporation. The Membership year runs from January 1 to December 31.

 

Payment of all Membership Fees must be made in United States Dollars (US$) by check or wire transfer of immediately available funds. The first year of fees is pro-rated on a quarterly basis for the calendar year, with the date of acceptance by the Board determining the quarter used to calculate the pro rata fee. Applicants accepted during any quarter will pay pro-rated fees effective the first day of the following month for the remainder of the calendar year, except that an Applicant accepted in the third or fourth quarter of a year shall pay dues and initiation fees for those quarters in addition to for the following year. Contributions in kind will not be accepted. Members shall be solely responsible for the payment of any and all taxes imposed in connection with such payment of Membership Fees, excluding only taxes imposed on the Corporation’s income, if any.

AGREEMENT AND AUTHORIZATION

 

This Membership Application constitutes an application for admittance by the Applicant as a Member of the Corporation. Upon submission of this Membership Application, the Board or the Membership Committee of the Corporation will review the Applicant’s information and, if approved, the Applicant will be (i) notified of such fact by the Corporation; (ii) required to pay the Membership Fee within thirty (30) days of acceptance; and (iii) required to sign an original of this Membership Application and the Corporation’s Membership Agreement. Upon approval of the Applicant’s Membership Application, the payment of the Annual Membership Fee and the delivery and receipt of an original signature of this Membership Application and the Membership Agreement, the Applicant shall be admitted as a Member in the Corporation.

 

Submission of this Seamless Alliance Membership Application serves as an acknowledgement of Seamless Alliance Bylaws and Intellectual Property Rights Policy. Upon becoming a member of the Seamless Alliance, you agree to at all times abide by the policies and bylaws of the Seamless Alliance.

 

I certify that I am duly authorized on behalf of my Company and its Affiliates to commit resources and Membership Fees for corporate Membership in the Corporation.
